(“CSX,” “we” or “us”), the operator of www.coscriptexchange.com website (the “Site”) and purveyor of all services available on or through the Site (the “Services”).
The term "Content" means any and all information, data, material, text, images, video, audio, and software provided by or through coloradoscriptexchange.com; and the term "User”
or "Users" (“you”) means any person who accesses or uses any Service or Content.

terminate or move material, information, or accounts that, in CSX's sole discretion, may be illegal, or that may subject CSX to liability or that may
violate this Policy.
CSX may investigate any suspected or alleged violation of this Policy and cooperate with the law, law enforcement authorities,
and/or third parties in such investigation.
1. Prohibited Use:
CSX does not permit or tolerate any illegal, abusive, harmful or improper use of the Services or any
use of the Services that interferes with other Users' enjoyment of the Services or legal rights under US Copyright Law. If you believe that you have been a
victim of any such conduct that is described below, please seek legal action. Without limiting the generality of the foregoing, CSX specifically prohibits
the following activities:
(a) Posting, transmitting, or soliciting any unlawful, harassing, threatening, abusive, defamatory, libelous, slanderous,
scandalous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, pornographic, profane, racist, discriminating or otherwise
objectionable or offensive material, information, message or communication;
(b) Posting, transmitting or soliciting any material, information, message or communication that would infringe or violate
any patent, copyright, trademark, trade secret or other intellectual property right of any person;
(c) Posting, transmitting or soliciting any material, information, message or communication that violates, or may give rise to
criminal or civil liability under any federal, state, local, national or international law, including, without limitation, the U.S. export control laws
and regulations, and the Computer Fraud and Abuse Act;
(d) Collecting, storing, posting, transmitting or soliciting personal information (including, without limitation, biographical,
residential, social, marital, occupational, financial, and health information) about other Users without their knowledge or consent;
(e) Collecting, storing, posting, transmitting or soliciting personal information about children under the age of 13;
(f) Collecting, posting, transmitting or soliciting harmful computer software viruses, codes, files or programs;
(g) Falsifying User information;
(h) Making fraudulent offers to sell or purchase, or conducting any type of financial scam such as "pyramid schemes,"
"ponzi schemes," or "chain letters";
(i) Sending email with charity requests, petitions for signatures, or any chain mail related materials,
other than for donations for causes that have been pre-approved by CSX.
(j) Sending unsolicited email that could, in CSX's sole discretion, provoke complaints;
(k) Sending unsolicited email without identifying in the email a clear and easy means to be excluded from receiving
additional email from the originator of the email;
(l) Forging email headers, using invalid or non-existent domain names or other means of deceptive addressing in email;
(m) Relaying email in an anonymous fashion, relaying email from any third party's mail servers without that third party's
permission, or using similar techniques to hide or obscure the source of the email;
(n) Adding, removing or modifying identifiable network header information in an effort to deceive or mislead;
(o) Impersonating or attempting to impersonate any person by using forged headers or other identifying information;
(p) Doing or attempting to do any thing that adversely affects the ability of other Users to use the Services or the
Internet, including, without limitation, "denial of service" attacks against another system or network host or another User;
(q) Hacking, mail-bombing, flooding, overloading, attacking or otherwise sabotaging or interfering with a system or network;
(r) Without permission from the owner or host of a system or network, doing or attempting to do any of the following: accessing
the system or network, monitoring data or traffic, probing, scanning, testing firewalls, testing the vulnerability of the system or network, or breaching
the security or authentication routines of the system or network;
(s) Selling or attempting to sell any Service provided by CSX;
(t) Using any Service to violate another Internet service provider's acceptable use policy and/or terms of service; and
(u) Any other uses of any Service that are illegal, abusive, harmful or improper.
2. Proprietary Rights.
User acknowledges and agrees that all Content is protected by copyrights, trademarks, service marks, patents,
trade secrets, or other proprietary rights. Except as expressly authorized by CSX, you may not copy, reproduce, sell, distribute, disseminate, transmit, publicly
display, publish, modify, adapt, edit or otherwise exploit any Content for any purposes, by any means or in any media other than printing or downloading.
The systematic retrieval of any Content to create or compile, directly or indirectly, a collection, compilation, database or directory without the prior written
permission of CSX is prohibited. In addition, use of any Content for any purpose not expressly permitted in this Policy is prohibited.
3. Postings or submissions by Users.
By posting or submitting any material to coloradoscriptexchange.com's website, you grant to coloradoscriptexchange.com and its parents,
subsidiaries, affiliates and licensees the right to promote your membership herein (but not your submitted material) worldwide in any media. You agree that you will be
solely responsible for any material posted or submitted by you or requested by you. You acknowledge that when you submit information about yourself to any third party,
you are solely responsible for those engagements and that CSX is not responsible for any third party communications and cannot monitor nor be responsible to you or
any third parties as a result of such uses.
4. Copyright ownership.
You hereby represent and warrant that you own or otherwise control all of the rights to such material and that
no use of such material by CSX will infringe or violate any rights of any third party. You hereby agree to defend, indemnify and hold CSX and its parents,
subsidiaries, agents, representatives, employees, officers, directors, affiliates, licensees, sponsors, partners, suppliers and contractors harmless from
and against any and all claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees and legal costs) arising from or in connection
Credentials, including but not limited to any violation of an intellectual property or other right of any person or entity. The foregoing indemnification obligation
does not apply to liabilities, claims and expenses arising as a result of our own gross negligence or intentional misconduct. CSX reserves the right, at any time
and in its sole discretion, to remove or block, disable or deny access to edit or modify any material posted or submitted by you.

The Site serves as an online resource, database, and industry conduit for fiction, screen, and television writers, on or through which, members may submit an unlimited number
of loglines and summaries for review by any site visitor. CSX is not responsible for marketing or driving traffic to User’s work, facilitating connections or business
contracts between Users and site visitors. Users acknowledge that the success of the Service in regards to individual User’s work relies entirely on the interest and
action of third party visitors.
In order to utilize many of the Services, Users posting work will have to register with the Site, which third party visitors will not. As part of the registration process,
you will create a username and password and may be asked to provide certain other personal information. You represent and warrant that all information you provide
during the registration process is correct and complete. The username and password that you provide are your credentials (“Credentials”) for accessing those Services
that are only available to posting Users. You are responsible for all use of the Site and Services using your Credentials, including use by others to whom you have given
your Credentials. You are responsible for keeping your password confidential and for notifying us if your password has been hacked or stolen. Our

8. COPYRIGHT DISPUTE POLICY
CSX has adopted the following general policy toward copyright infringement in accordance with the Digital Millennium Copyright Act (the “DMCA”). If you believe that CSX has
made available certain information about a script that you, the rightful owner, do not want to be public or find to be misrepresentative of the script, you may file a
complaint with our office. CSX will block access to or remove material that it believes in good faith to be copyrighted material that has been illegally copied and
distributed by any of our advertisers, affiliates, content providers, members or users; and (b) remove and discontinue service to repeat offenders.
If you believe that material or content residing on or accessible through the Site or the Services infringes a copyright, please send a notice of copyright infringement
containing the following information to the “Designated Agent” listed below:
- A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed;
- Identification of works or materials being infringed;
- Identification of the material that is claimed to be infringing including information regarding the location of the infringing materials that the copyright owner
seeks to have removed, with sufficient detail so that Rule the Sale is capable of finding and verifying its existence;
- Contact information about the notifier including address, telephone number and, if available, email address;
- A statement that the notifier has a good faith belief that the material is not authorized by the copyright owner, its agent, or the law; and

or for any loss or damage of any kind incurred as a result of your use of or reliance upon any information or material contained in such third party sites.

11. LIABILITY LIMITATIONS
OUR TOTAL LIABILITY TO YOU AND/OR ANY THIRD PARTY ON ANY CLAIM OR CAUSE OF ACTION, WHETHER SOUNDING IN TORT, CONTRACT OR OTHER BODY OF LAW, THAT ARISES FROM OR RELATES TO
MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONTENT OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR
PUNITIVE DAMAGES, LOSSES OR CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM OR IN ANY WAY RELATED TO THE
USE OF, OR THE INABILITY TO USE, OR THE PERFORMANCE OF THE SITE OR THE CONTENT AND MATERIALS OR FUNCTIONALITY ON OR ACCESSED THROUGH THE SITE, INCLUDING, WITHOUT LIMITATION,
LOSS OF REVENUE, OR ANTICIPATED PROFITS, OR LOST BUSINESS, DATA OR SALES OR ANY OTHER TYPE OF DAMAGE, TANGIBLE OR INTANGIBLE IN NATURE, EVEN IF CSX OR ITS REPRESENTATIVE HAS

12. ELECTRONIC AGREEMENT
